Introducing Limited Liability Partnership (LLP) Registration through Electronic Mode (E-Filing).
A. LLP REGISTRY PROCESS FOR NEW UNITS
1. LLP registration process has been upgraded and aligned with MCA Portal 21.
2. Ministry has since decentralized this process. Henceforth all the ROC’s will do the registration for the LLP’s.
3. The new registration system will have Form No. 1,2,3,4,8,11,15,17,18,22,23,24,31 and 32.
4. Form No.2,3, and 4 will have instruction kit for filing.
5. For Foreign LLP’s , in addition to the above forms, Form No. 25,27,28 and 29 shall also be used.
B. LLP REGISTRY PROCESS FOR EXISTING UNITS
1. All existing LLP’s will have to do verification process of the Partner & Designated Partner for filing in the same portal i.e. MCA 21.
2. Form No. 8 is to be certified by the Auditor and Form No.11 is to be certified by the Company Secretary.
3. Payment system stands extended from One Bank to Six Banks under MCA 21 Certified.
Other Issues :
1. Capital contribution is a must for a partner. No partner can come without contribution.
2. LLP’s are not allowed to run NBFC business as the same is not notified by RBI.
3. The common ID can be used for MCA 21 and previous LLP registration ID. But it is advised to use only one ID for login.
4. Stamp duty on LLP agreement – As per existing arrangements this is as applicable to Partnership Deed/ Agreement.
5. Electronic payment of stamp duty is not acceptable under the new system. However as and when such mode is allowed, it will be communicated. Till such time the physical mode of payment will continue.
