Please Help: 23b filing-urgent reply is required

AGM of govt company held on 25/11/2013 but due to non availability of form -23b on site statutory auditor did not file it.From 1 April now company is required to file details in GNL-2 by attachment of ADT-1 but company did not file it,then which return is required to file? what is penalty ? who bear it in what proportion ?
