Q. quoting of wrong Firm registration no. ADT - Hi all,
I have been appointed as a auditor of the company for a period of 5 years from April 2020. However, while filing the ADT - 1 there was typo error in quoting the FRN of My firm what can be done to correct the mistake.

Q. Remuneration to MD - Hi
One of our client company is having a turnover of Rs. 160 Crores. The Company wishes to pay remuneration to the MD on export sales being acheived by him @8% this year. The remuneration is being paid to him only and not to other 6 directors. In the next year, they are planning to provide MD with the commission @ 15% on the increasing export sales. by passing a special resolution Is this justified from corporate governance point of view or any other compliance needs to be done?

Q. CSR AND REGISTERATION OF CHARGE - 1.First query is related with sub section 3 of section 198 of companies act 2013 which says that credit shall not be given for the following at the time of computation of net profit. We have doubt related with point no .C which is as mentioned below:-( we need clarification as we have to calculate net profit for the purpose of computing CSR expenditure)
"(c) profits of a capital nature including profits from the sale of the undertaking
or any of the undertakings of the company or of any part thereof;"

Does this point cover profit from sale of shares or mutual funds? as in our case we are private limited company and we have other incomes as well in our profit and loss account which includes profit from sale of shares and mutual fund.Can these be covered with capital nature transaction? Please clarify.
2.Second query is that we have purchased car in the name of company and have financed the same from the bank .Is there any requirement to register the charge with ROC for creation of charge? Basically we would like to know is it necessary for private limited company to register the charge of motor vehicle with ROC.

Q. Section 185 of the Companies Act - As per Amendment in Section 185 of the Companies Act, 2013, a company can provide loan to person in whom director is interested subject to the condition that special resolution for the same is passed. In view of the aforesaid amendment we have the following queires:

Whether the shareholdersâ€™ approval required is â€œpriorâ€ i.e. before advancing of any loan or â€œpostâ€ i.e. after the grant of loan?
In case if the approval to be obtained is post i.e. after the grant of loan, whether the Company can take approval for all loans/guarantees/securities given during the year in the ensuing AGM? (For eg.- Can we obtain approval of shareholders in the AGM to be held in the year 2019 for all the loans/guarantees/ securities given by the Company during the period 7th May, 2018 toÂ 31st March, 2019?)

Q. DIRECTOR DISQUALIFICATION & APPOINTMENT - Out of Two directors (Assume A & B), A is director since incorporation and B was appointed in march, 2017 in XYZ company. Director A is disqualified from Nov 2016 (as per mca site). Now company wants to appoint another person (lets assume C) who was director in company from incorporation and resigned in march, 2017 as second/additional director? Can we appoint such person C as an director and since when appointment should be done?
