query: Whether remuneration to non-executive director being director of unlisted public company does under purview of section 188. If not, whether other directors being relative of such non-executive director have to disclose their interest. If all directors are relative to each other, how they will make the proper quorum u/s 174. Is it mean that closely held companies can't increase the appoint or increase the remuneration without appointment of Independent Directors. Please clarify ??
