Please Help: Remuneration to MD

One of our client company is having a turnover of Rs. 160 Crores. The Company wishes to pay remuneration to the MD on export sales being acheived by him @8% this year. The remuneration is being paid to him only and not to other 6 directors. In the next year, they are planning to provide MD with the commission @ 15% on the increasing export sales. by passing a special resolution Is this justified from corporate governance point of view or any other compliance needs to be done?
