Hello friends,
In a Pvt. Ltd. Co., there are only 2 shareholders and they are directors also. One lives in foreign and second in India. Can AGM be held through video conferrencing and also whether AGM be held in foreign whereas regd. office is in India......

AGM can be held in India Only. Further AGM thru Video conferencing is possible

Ever agm should held at the registered office of the company or at some other place within the city, town or village in which the registered office of the company is situated. Read section 166 of Companies act 1956.
