Please Help: Demerger regarding

One p ltd company engaged in textile manufacturing wants to transfer the Wind Mills to other company belonging to the same management, by demerger. My question is whether it can transfer by passing a resolution at Board meeting or has to go for demerger through court. What will be tax implications. please clarify at the earliest.
